NORTH DAKOTA STREET ROD ASSOCIATION (NDSRA) BYLAWS
ARTICLE I. NAME
Section 1. The name of the organization is the North Dakota Street Rod Association.
ARTICLE II. OBJECTIVES
Section 1. To promote safe driving and to provide members with knowledge in the proper construction and overall maintenance of safe vehicles.
Section 2. To create good fellowship and sportsmanship among all members of the association.
Section 3. To promote interest in various forms of street rodding activity.
Section 4. To conduct functions and activities in a manner befitting members of the street rodding sport and to encourage a better understanding of street rodding as a constructive sport among members, the public, the press, government, and law enforcement agencies.
Section 5. To uphold the principles of good government.
Section 6. To hold NDSRA vehicle voting events throughout the state each year. The number of events and locations will be determined by the board at the annual meeting. Any current NDSRA member’s vehicle, which displays a window sticker indicating NDSRA eligibility, can be voted on. Selection will be done by ballot, with one ballot per member in good standing. The vehicle with the majority of votes will be the event “pick” and will be considered with other “pick” vehicles to be voted on by the membership at the end of the year to be named as “Car of the Year.”
ARTICLE III. MEMBERSHIP
Section 1. Any person of good character interested in street rodding activities is eligible for membership. Membership will consist of a single membership (1 vote), or couple membership (2 votes) which covers you and your spouse, or Under 21 years of age (1 vote). Membership shall be open to all regardless of age, race, color, religion, or national origin.
Section 2. Dues shall be reviewed and determined by the board annually. Membership available for single and couple on a one year, two year or lifetime basis. Under 21 years of age are at no dues. (Membership expires December 31 of each year, a paid membership after August 1st will be extended into the next year). Lifetime membership is non-transferable.
Section 3. All members will be entitled to receive a membership card, windshield decal, Street Talkin’ newsletter, voting privileges, and be invited to participate in all association Events.
Section 4. A member in good standing has the right to run for and hold an elected office.
Section 5. All members must properly and safely maintain their vehicles to sustain their membership.
Section 6. A current member is eligible to be nominated “Member of the Year” by current membership and the selection is made by the current Board of Directors.
ARTICLE IV. OFFICERS
Section 1. The elected officers of the association include: President, Vice President, Secretary, and Treasurer. In addition, one member of the association from each of the six districts (North East, South East, North Central, South Central, West and Out of State) will be elected as a director. The webmaster and editor of Street Talkin’ will be appointed by the board. These positions will form the Board of Directors.
Section 2. More than half of the board members in attendance will constitute a quorum.
Section 3 Upon departing an elected or appointed position, a member shall surrender all property in his or her possession which belongs to NDSRA, including but not limited to materials, merchandise, documents, or electronics upon boards request.
Section 4. Officers, directors, or members shall not receive any compensation or reimbursement for services rendered, except for reimbursement of out-of- pocket expenses incurred in the performance of their duties. Receipts must be provided for any request for reimbursement.
ARTICLE V. ELECTIONS
Section 1. All nominees for any office must be a member in good standing.
Section 2. All elected board members or any appointees must remain membership in good standing for the duration of their terms.
Section 3. Any change to a board officer or director position is to be nominated and voted on at the annual meeting. Any newly elected board member shall assume office at the conclusion of that meeting. The president and vice president offices are 2-year terms. There is no term limit for the secretary, treasurer, or directors. If they choose to no longer serve, a new individual must be nominated and voted on at the annual meeting.
Section 4. Nominations must be made from the floor during the annual meeting. All contested offices will be voted on by either a secret ballot or a show of hands with candidates out of the room.
Section 5. Nomination and election for any change in a director position from one of the six districts will occur after the election of the officers has been completed.
Section 6. All elections will be decided by majority vote of all members in good standing present at the annual meeting.
ARTICLE VI. DUTIES OF OFFICERS/DIRECTORS
Section 1. The President will schedule and preside over all meetings of the association, act as ex officio member of committees, preside over elections to be sure they are held in accordance with the bylaws, and take necessary actions to inform the membership of the association’s decisions.
Section 2. The Vice President will perform all the duties of the President in his or her absence.
Section 3. The Secretary will record and maintain the minutes of all association meetings, give notice of all meetings, and provide copies of all minutes to the board members and to the editor for inclusion in Street Talkin’. Manage the membership information and roster; provide current copies of the roster to board members, upon request by individual board members, and upon request by NDSRA voting events; provide a list of delinquent membership dues at the end of January and upon request by individual board members; and disburse membership cards and window decals. Generate advertising sponsors for Street Talkin’.
Section 4. The Treasurer will collect all income due to the association; keep an accurate account of all money, credits, merchandise received and disbursed; endorse all checks, notes, invoices and disbursements; make payments from association funds, when required; maintain the accounting books/records; and make regular reports of the financial status of the association to the board. Provide the Secretary with any information on new memberships received. Prepare a yearly statement to be used for income tax preparation.
Section 5. The directors act on behalf of the members in their district to bring forth to the board of directors any suggestions, ideas, and recommendations for discussion and possible resolution; promote the NDSRA association in their areas and recruit new members; and oversee vehicle ballot counting for NDSRA “pick” voting events.
Section 6. The editor of the newsletter, Street Talkin’, will collect information and articles from the board and membership to be included and published in the newsletter six times a year.
Section 7. The webmaster shall keep information of the association current on the web page and other social media updated.
Section 8. There will be an annual check & balance audit to be performed by the Board of Directors.
ARTICLE VII. MEETINGS
Section 1. The annual membership meetings will be held at a time and place set forth by the board.
Section 2. Special meetings of the board of directors or the membership can be called by the President.
Section 3. Roberts Rules of Order will be applied as parliamentary authority.
Section 4. The order of business for all meetings of the association is as shown below.

ARTICLE VIII. AMENDMENTS
Section 1. All proposed amendments to the bylaws must be sent to the editor to be reviewed and publicized in the Street Talkin’ newsletter at least 60 days prior to the last publication for the calendar year.
Section 2. To pass any proposed amendment or change to the bylaws, the majority of the membership present at the annual meeting must vote on and approve the changes.
Section 3. Approved and accepted amendments to the bylaws will take effect immediately and will be dated and published in Street Talkin’ and the web page
ARTICLE IX. AMENDMENT APPROVAL
Section 1. Adopted date is 1984

ARTICLE X. ASSOCIATION OPERATIONS
Section 1. Finances
A. All expenditures that are not considered normal operation expenditures of the Assocation, will require a majority approval of the Board of Directors.
Section 2. All events sponsored and produced by the Association shall be supervised by the Board of Directors, by which funds and goods obtained are associated with each event.
Section 3. Any goods, services, or funds obtained on behalf of the Association shall be considered Association property.
